This Terms of Use Agreement applies to use of the PrissyDuck.com website located at https://prissyduck.com (the “Site”). The Site is the property of Prissy Duck, LLC.  You have the option of establishing an account before you make a purchase. By establishing an account and/or making a purchase on this web site you agree to the below policies.

Order Acceptance Policy

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. PrissyDuck.com reserves the right at any time after receipt of your order to accept or decline your order for any reason. PrissyDuck.com further reserves the right any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. Your order will be deemed accepted by PrissyDuck.com upon shipment of products. Title to goods passes to you upon delivery to the common carrier. All orders placed over $1000.00 (U.S.) must obtain pre-approval with an acceptable method of payment.  We may require additional verifications or information before accepting any order.

No Responsibility To Sell Mispriced Products

PrissyDuck.com shall have the right to refuse or cancel any orders placed for products and/or services listed at an incorrect price, rebate or refund, or containing any other incorrect information or typographical errors. PrissyDuck.com shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, PrissyDuck.com shall immediately issue a credit to your credit card account in the amount of the charge.

Content; Copyright and Trademark Notice.

All media (downloaded or samples), software, text, images, graphics, user interfaces, music, videos, photographs, trademarks, logos, artwork and other content on the Site (collectively, “Content”), including but not limited to the design, selection, arrangement, and coordination of such Content on the Site is owned or licensed by or to PrissyDuck.com, and is protected by copyright, trade dress, and trademark laws, and various other intellectual property rights laws. Except as expressly provided in this Terms of Use, no part of the Site and no Content may be reproduced, recorded, retransmitted, sold, rented, broadcast, distributed, published, uploaded, posted, publicly displayed, altered to make new works, performed, digitized, compiled, translated or transmitted in any way to any other computer, website or other medium or for any commercial purpose, without PrissyDuck.com’s prior express written consent. Except as expressly provided herein, you are not granted any rights or license to patents, copyrights, trade secrets, trade dress, rights of publicity or trademarks with respect to any of the Content, and PrissyDuck.com reserves all rights not expressly granted hereunder. PrissyDuck.com expressly disclaims all responsibility and liability for uses by you of any Content obtained on or in connection with the Site.

Member Sign In

If you decide to become a prissyduck.com member, you agree to (1) provide accurate, current and complete information about yourself as prompted by the appropriate registration form, (2) maintain and update your information to keep it accurate, current and complete, and (3) comply with these Terms. You may review, correct, change or update your membership information by visiting the Your Account section of prissyduck.com. You acknowledge that if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right, at our sole discretion, to suspend or terminate your membership. As part of the membership sign in process, you will be asked to select a member name and password. You may not choose a member name that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion. We reserve the right to reject any member name in our sole discretion. You agree not to transfer or resell your use of or access to prissyduck.com or permit anyone else whose account or membership was suspended or terminated to use prissyduck.com through your account, member name or password. If you have reason to believe that your password is no longer secure, you must promptly change your password by updating your member information, and immediately notify us by emailing. You are solely responsible for maintaining the confidentiality of your member name and password for any and all activities (including purchases) that are conducted through your account.

Changes to prissyduck.com and/or terms of use

Prissyduck.com reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Site or these Terms, in whole or in part, at any time. Changes to these Terms will be effective when posted. You agree to review these Terms periodically to be aware of any changes. Your continued use of prissyduck.com after any changes to these Terms are posted will be considered acceptance of those changes.

Limitation of Liability

Under no circumstances, including, but not limited to, negligence, shall Prissy Duck LLC, be liable for any indirect, special, exemplary, or consequential damages that result from the use of, or the inability to use, the site or the software, even if Prissy Duck LLC, has been advised of the possibility of such damages.  Applicable law may not allow the limitation or exclusion of liability or exemplary, incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event shall Prissy Duck, LLC’s total liability to you for all damages, losses, and causes of action (whether in contract, tort (including, but not limited to, negligence), or otherwise) exceed the amount paid by you, if any, for accessing prissyduck.com.

 

Mobile Terms of Service

The Prissy Duck mobile message service (the "Service") is operated by Prissy Duck (“Prissy Duck”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Prissy Duck’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Prissy Duck through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Prissy Duck. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to PrissyDuck or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Prissy Duck mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
